1. DEFINITIONS
- “Company”refers to ExoraPrime.
- “Introducing Broker (IB)”refers to the independent individual or entity introducing clients to the Company.
- “Client”refers to any individual or entity who registers an account through the IB’s referral link.
- “Services”trading accounts, brokerage services, and related financial services.
2. APPOINTMENT & AUTHORITY
You are appointed as a non-exclusive independent contractor. Nothing creates a partnership or employment relationship.
NO AUTHORITY
- • No authority to bind the Company
- • Cannot make guarantees or promises
- • Cannot alter terms or fees
- • Cannot provide financial advice
3. RESPONSIBILITIES
The IB agrees to promote the Company ethically and lawfully at all times.
- Avoid misleading/exaggerated claims
- Do NOT guarantee profits
- Clearly communicate trading risks
- Comply with advertising standards
4. MARKETING & PROMOTION
4.1 Approved Materials
The IB must use only marketing materials approved by the Company. Unauthorized content may result in immediate suspension.
4.2 Prohibited Practices
- Promise guaranteed profits
- Use false performance screenshots
- Impersonate the Company
- Run misleading paid ads
- Target restricted jurisdictions
5. COMMISSION STRUCTURE
Eligibility
Commissions based on trading volume, account activity, or service subscriptions as defined in your dashboard.
Payment Terms
Calculated periodically subject to minimum thresholds. May be delayed for compliance review.
Clawbacks
Reversed for fraudulent accounts, chargebacks, or AML violations. Accounts may be suspended during investigation.
6. CLIENT OWNERSHIP
Clients remain customers of the Company. You have no rights over client funds or accounts.
7. COMPLIANCE
Do not accept funds directly. Cooperate with AML investigations. Strict compliance required.
8. CONFIDENTIALITY
Commission structures, strategies, and client data must remain confidential.
9. INTELLECTUAL PROPERTY
Do not modify branding or register similar domains. All IP remains owned by ExoraPrime.
10. Termination
- • By either party with written notice.
- • Immediately for misconduct or regulatory requirement.
- • Unpaid commissions may be withheld under review.
11. Limitation of Liability
- • No liability for loss of IB income.
- • No liability for indirect damages.
- • No liability for platform interruptions.
This Agreement is governed by the laws of Saint Lucia. Disputes shall be resolved through negotiation or arbitration.
The IB operates as an independent contractor responsible for taxes and compliance.
